SANCTUARY AGREES IN PRINCIPLE TO ACQUIRE BRAVADO

THE Sanctuary Group, one of the world’s leading developers of intellectual property rights (IPR’s) in the fields of music, television and entertainment, have announced that they have agreed in principle to acquire Bravado International Group for an initial consideration of £7,841,290.
The deal is to be satisfied as to £2,521,290 by the issue of 3,738,013 new ordinary shares in The Sanctuary Group and as to £5,050,000 in the form of loan notes and £270,000 in cash.
Bravado, one of the worlds leading licensors and developers of visual intellectual property, has been trading for 20 years as one of the premier rights companies linked to the music and entertainment industries. Key to this acquisition for Sanctuary is Bravado’s pre-eminent reputation, contacts and portfolio of substantial visual property that they have developed over the years through licensing agreement.
Bravado owns licenses to produce merchandise for music acts and over the past year has licensed items for artists including Robbie Williams, Kylie Minogue, Depeche Mode, Craig David, and Eminem, and TV and film related merchandise for the ‘Lord Of The Rings’ trilogy and ‘Buffy the Vampire Slayer’.
Mike Miller, Finance Director of Sanctuary, said: “The purchase of Bravado, arguable the world’s leading music licensing group, builds on Sanctuary’s growing visual IPR library. It also gives us an opportunity to provide a full service to acts signed to any part of the Group and also exploit the burgeoning worldwide market for merchandise linked to music, TV and film.”
Sanctuary intends to integrate Bravado into their Artist Service division, which already covers Management and Live Agency for artists, whilst keeping their current premises and staff. (CD)
